NetLink NBN Trust (“NetLink”) is committed to proactive, timely, and consistent communication with Unitholders, analysts, and the investment community. The Investor Relations (IR) team is the main intermediary between NetLink and Investors, and it facilitates effective communication with the Investors. To help Investors make informed investment decisions, NetLink NBN Trust is guided by the following principles and practices.
General Policy
At all times, we are committed to making timely, full, and accurate disclosure in accordance with the Listing Manual of the Singapore Exchange Securities Trading Limited (“SGX-ST”) and the Singapore Code of Corporate Governance 2018.
This Policy is subject to regular review by the NetLink's senior management (“Management”) to ensure its effectiveness.
Unitholder Rights
NetLink is committed to treating all Unitholders fairly and equitably. We recognise, protect, and facilitate the exercise of Unitholders' rights, and constantly review and update such governance arrangements.
Unitholder Privacy
NetLink NBN Trust recognises the importance of its Unitholders' privacy and does not disclose unitholder information without their consent unless required by law
- NetLink strives to provide accurate, balanced, and consistent information to its Unitholders and the investment community quickly and in a timely manner.
- NetLink will communicate only through its designated spokespersons.
- Management, together with the IR team will establish and maintain regular dialogue with unitholders and the investment community, to solicit and understand their views through analysts' briefings, investor conferences or non-deal roadshows.
- NetLink will give reasonable access to analysts and the media to help them formulate informed opinions of the business but will not seek to influence those opinions.
- NetLink observes a 'blackout period' prior to the announcement of its financial results/business updates. During this period, NetLink refrains from meeting Investors and making comments on the industry outlook, its business performance, and financial results two weeks prior to the announcement of its business updates for its first and third quarters and one month prior to the announcement of its half year and full year financial results.
- NetLink does not respond to rumours or market speculation. However, if rumours indicate that material information may have been leaked or if they are in fact false and inaccurate, clarification will be made promptly through announcements via SGXNET.
- NetLink will avoid giving any forecast and/or forward-looking information in any corporate documents unless it is a regulatory requirement, or if the Board and senior management deem it necessary.
NetLink actively engages unitholders and the investment community via:
Annual General Meeting (AGM)
- NetLink uses the AGM as a platform to communicate fully with unitholders, while giving them an update of the recent developments at NetLink. Unitholders are encouraged to pose questions as part of the formal proceedings.
- An announcement of the voting results is made on the same day via SGXNET after the conclusion of each meeting.
- The minutes of meetings, including key comments and queries raised by unitholders and the responses from the Board and Senior Management are made available on the corporate website within a reasonable time after the conclusion of each meeting.
Investor Conferences and Roadshows
- NetLink maintains a proactive and regular investor engagement programme through one-on-one meetings, conference calls, email communications, investor conferences and non-deal roadshows.
- Such meetings allow NetLink to explain and discuss the business strategy and operations, financial results, corporate governance, and other matters that affect their interests in NetLink. Meetings and briefings are also a way to attract new investors and garner the support of the press and analysts.
- Discussions at meetings are based on publicly available information.
Results Announcements
- NetLink provides business updates for its first and third quarters. NetLink announces its financial results for its half year and full year. The half year financial results are announced within 45 days from the end of its half year whilst the full year financial results are announced within 60 days of its financial year.
- Following the release of any business update or financial results, the Company holds a post-result briefing for analysts.
- Discussions at meetings are based on publicly available information.
